1. Use of Power Werks


a. Description The Power Werks System ("System"), including Basic Tools ("Tools") was created to assist customers (the "Customers"), specifically engine managers, with tasks associated with building and managing the technical, material, and economic elements of engine repairs, modifications, and overhauls. Upon receiving access to the System, the Customer agrees to make best efforts to acquire LLPs from Power Werks. For the first year of use, access to the Power Werks Basic Tools, consisting of the LLP Forecast, the CV Calculators, and the Illustrator (when available), is offered free of charge to the CFM56 Powerplant Manager (“PP Mgr”) at each Customer account. A user fee may be assessed for each additional user at a Customer account.
b. Non-disclosure/ Confidentiality Power Werks considers data provided by its customers via the System as proprietary and agrees to keep this information confidential and use it for the expressed purpose of providing the Customer with enhanced material solutions. The Customer understands and acknowledges the System, Tools, reports and information generated by the System or otherwise provided to the Customer are proprietary and the property of Power Werks. These are for the Customer’s exclusive internal use, and may not be shared with any third parties without the expressed written consent of Power Werks.
c. Access Access to the System is limited to approved Customers. All users must register and create a unique password for access to the System. A user may not disclose its account/login to third parties or permit others to use its account/login. Upon completing the registration, the PP Mgr will have immediate access to the System. This is an interactive database, and Power Werks will have access to all data changes within the System. Subject to the terms and conditions of these Terms of Use, Power Werks grants to the Customer a limited, non-exclusive and non-transferable license to access and use the System for Customer’s own internal business purposes. Power Werks may, in its sole discretion, terminate the access of Customer or any user to the System at any time with or without notice. Customer agrees not to (a) modify, adapt or make derivative works of the System, (b) access the System for the purpose of building a competitive product or service or copying its features, content or user interface, including by screen scraping; or (c) access or use the System by means of any interfacing program, script or automated program except as authorized in writing by Power Werks Inc. Upon termination of access, the Company and its users will immediately cease use of the System and related reports and information provided to the Customer.
d. Renewal Annual renewals begin in October of each year. For no charge, customer’s access to Power Werks will renew automatically when the user enters his forecast for the upcoming year.
e. Changes to Terms of Use Power Werks may change these Terms of Use from time to time. If Power Werks makes any changes, it will notify the Customer by revising the Effective Revision and Date at the top of this Terms of Use, and/or where appropriate, Power Werks may provide you with additional notice (such as adding a statement to the login screen or sending the Customer an email notification). Customers are encouraged to review our Terms of Use whenever they use Power Werks System to stay informed about our information practices. If the Customer disagrees with any changes to these Terms of Use, Customer should cease use of the Power Werks System and deactivate her/his account(s).

2. Tools


a. Fleet/Engine Removal Management Upon registering for the System, details relating to the Customer’s scheduled engine visits for the upcoming year, including Engine Model, Cycles Remaining (or Build Spec), and Quantity of Engines per Month are entered into the Forecaster, which enables the Customer to receive notifications for any available LLPs that match their fleet plan. b. Notifications/ Alerts The Power Werks System will send periodic email notifications when LLPs matching the forecast requirement, or specific requirements from the Illustrator (when available), are available. “Disksheet Requests” will be sent 60 days prior to forecasted shop visits to identify LLP replacements. Notifications will typically include basic information such as Engine Model, Part Number, Description, and Cycles Remaining, with an option for the Customer to "Get Details".

3. Purchase Terms


a. Quote Details Upon selecting "Get Details", the Customer's sales rep will receive a notification and provide part details, or the Customer will be linked directly to the Illustrator (when available) where they can see Condition, Overhaul Vendor, Tag Date, Last Operator, Price, and Delivery. A link to the Traceability Packet ("Trace Pack") will also be available for review, download, or printing. b. Purchasing Service Upon mutual agreement, Power Werks will acquire LLPs from a third party on behalf of a Power Werks’ user. Use of Power Points for these services must be negotiated on a case by case basis. The Illustrator (when available) has been designed to record and track all LLP acquisitions and overall savings, and can include data for LLPs acquired from vendors, including the main vendor, TurboJet Partners, Inc. The user acknowledges that TurboJet has access to this information. c. Purchase Terms No Purchase Order (“PO”) shall act to create an obligation on the behalf of Power Werks until it has been accepted in writing by Power Werks in its discretion. The terms of sale or transfer for any parts or items referenced on the System are only those contained in the agreement formalized between the parties in connection with the Customer’s PO and Power Werks’ acceptance thereof. These Terms of Use and information presented on the System (including pricing and scheduling information) shall not limit, modify or restrict the terms set forth in such agreement. d. Commitment to Purchase The System promotes a "First Come, First Serve" approach to material support. Multiple notifications may be sent for the availability of a single part. The Customer commits to acquiring a part by selecting "Place PO" on an alert or, within Illustrator (when available), by executing a "drag and drop" of the available part into the build model. These commitments must be formalized with a PO within 24 hours. Power Werks will confirm the availability of the part and acceptance of the order on the next business day following receipt of the commitment.

4. Use of Power Points (Purchase Credits)


a. Power Points Usage Power Werks’ online currency is called Power Points. Power Points, managed through Power Werks, are purchase credits issued to the Customer for engine material sold to Power Werks. Removal LLPs will serve as the principle source of Power Points accumulation, although Customers are encouraged to offer other removal, surplus, excess, or active inventory for evaluation towards the accumulation of additional Power Points. Items may routinely be offered through the Power Werks contact link, through Chat, or by uploading a list through the System Browser. Unserviceable or non-repairable material owned by the Customer (COP) and held by a Customer’s MRO contractor will also be reviewed as value for Power Points. b. Managing Power Points Customers may roll unused balances forward, for use towards a future engine, or use LLPs (or other removal, surplus, or COP material) from future scheduled removals to roll cash due balances forward, if the timeframe is mutually agreed upon with Power Werks. Unused balances may also be cashed-out, if all acquired material has completed repair.

5. Use of Information


a. Web Logs As is true with most websites and services delivered over the Internet, we gather certain information and store it in log files when you interact with our Websites. This information includes internet protocol (IP) addresses as well as browser type, internet service provider, URLs of referring/exit pages, operating system, date/time stamp, information you search for, locale and language preferences, identification numbers associated with your Devices, your mobile carrier, and system configuration information. Occasionally, we connect Personal Information to information gathered in our log files as necessary to improve Power Werks for individual customers. b. Analytics Information from Website We collect analytics information when you use our Websites to help us improve our products and services. For some tools, this analytics information consists of the feature and function of the Power Werks being used, the associated license identifier (SEN) and domain name, the username and IP address of the individual who is using the feature or function (which will include Personal Information if the Personal Information was incorporated into the username), the sizes and original filenames of attachments, and additional information required to detail the operation of the function and which parts of the Power Werks are being affected. The analytics information we collect includes elements of Content related to the function the user is performing. As such, the analytics information we collect may include Personal Information or sensitive business information that the user has included in Content that the user chose to upload, submit, post, create, transmit, store or display in Power Werks. c. Analytics Information Derived from Content Analytics information also consists of data we collect as a result of running queries against Content across our user base for the purposes of generating Usage Data. "Usage Data" is aggregated data about a group or category of services, features or users that does not contain Personal Information. Though we may happen upon sensitive or Personal Information as we compile Usage Data from Content across user instances, this is a byproduct of our efforts to understand broader patterns and trends. It is not a concerted effort by us to examine the Content of any particular customer. d. Analytics Information from Downloadable Products We collect analytics information when you use our Downloadable Products to help us improve our products and services. Our Downloadable Products contain a feature that sends information about the technical operation of the Downloadable Products on your systems ("System Information") to us. System Information includes information about (a) the server environment in which the Downloadable Product is operating: OS type and version, JVM version, Java environment properties, CPU type, RAM allocation, language and locale settings, database type and version, and disk utilization, as well as (b) user client information, for example: browser type and version, native client type and version, and client device specifications (e.g. screen resolution, OS version, device type, etc.). In addition, we collect analytics information from Downloadable Products that is a subset of the analytics information described above for Websites

6. Disclaimer


THE SYSTEM IS PROVIDED "AS IS" WITH ALL FAULTS, ERRORS AND DEFECTS. TURBOJET DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES. TO THE MAXIMUM EXTENT ALLOWED BY LAW IN NO EVENT WILL TURBOJET OR ITS AFFILIATES BE LIABLE TO CUSTOMER OR ANY OTHER PARTY FOR DIRECT, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES, INCLUDING LOST DATA, LOST PROFITS OR BUSINESS LOSS, ARISING OUT OF OR RELATING TO THE SYSTEM OR THESE TERMS OF USE. If any provision of these Terms of Use shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the remaining terms and shall not affect the validity and enforceability of any remaining provisions. These Terms of Use constitute the entire agreement between the parties with respect to its subject matter and supersede all prior agreements or understandings of the parties with respect thereto.
